1. Agreement to Terms

These Terms and Conditions ("Terms") form a binding agreement between you ("User," "you") and Mahad Farrukh, a sole proprietor doing business as Thesis Tracker ("Thesis Tracker," "we," "us," or "our"), governing your access to and use of the Thesis Tracker website, application, and related services (collectively, the "Service"), available at trackthesis.org. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Thesis Tracker is a subscription-based web application that allows users to record investment theses, define expected key performance indicators ("KPIs"), and generate periodic AI-assisted reviews of those theses against publicly available information. The Service is provided for informational and organizational purposes only.

3. Not Financial Advice

Thesis Tracker does not provide investment, financial, legal, or tax advice. All content generated by the Service, including AI-generated reviews and verdicts, is provided "as is" for informational purposes only and should not be relied upon as the sole basis for any investment decision. You are solely responsible for your own investment decisions and should consult a licensed financial professional before acting on any information presented through the Service.

4. Accounts

To use the Service, you must create an account. Account creation and authentication are handled by our third-party identity provider, Clerk, Inc. ("Clerk"). You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating an account and keep it up to date.

5. Subscription Plans and Billing

Thesis Tracker offers paid subscription plans (currently Starter, Pro, and Enterprise), each with a monthly fee and a corresponding monthly thesis quota, as described on our pricing page at the time of purchase.

Payments are processed by Paddle.com Market Limited ("Paddle"), our payment processing and reseller partner. Paddle acts as the Merchant of Record for all purchases made through the Service. This means Paddle is the seller of record and handles invoicing, sales tax/VAT collection and remittance, and payment processing on our behalf. Your purchase is subject to Paddle's Buyer Terms and Conditions, and your payment method statement may show a charge from "Paddle" or "PADDLE.NET" rather than "Thesis Tracker."

Subscriptions automatically renew each billing period until canceled. You authorize Paddle to charge your chosen payment method on a recurring basis for as long as your subscription remains active.

We reserve the right to change subscription pricing. We will provide reasonable notice of any price changes before they take effect for existing subscribers.

6. Cancellations

You may cancel your subscription at any time through your account or customer portal, or by contacting us. Cancellation takes effect at the end of your current billing period; you will retain access to paid features until that date. We do not provide prorated refunds for unused time within a billing period except as described in our Refund Policy.

7. Promotional and Discount Codes

From time to time we may issue promotional or discount codes (including codes that waive payment in full) at our sole discretion. Such codes may be restricted to specific plans, limited in quantity, time-limited, and revoked or expired without notice. Promotional codes have no cash value and cannot be exchanged, sold, or combined unless explicitly stated.

8. User Content

You retain ownership of the thesis descriptions, KPIs, and other content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to process, store, and transmit that content as necessary to operate the Service, including sending relevant portions to third-party AI providers (see our Privacy Policy) to generate reviews on your behalf.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose;
  • Attempt to gain unauthorized access to the Service or other users' accounts or data;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer or attempt to extract the source code of the Service, except as permitted by law; or
  • Use the Service to submit content that is unlawful, infringing, or harmful.

10. Intellectual Property

The Service, including its software, design, and branding, is owned by Thesis Tracker and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

11. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or for any other reason at our reasonable discretion, with or without notice. Upon termination, your right to use the Service will immediately cease.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THESIS TRACKER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Thesis Tracker from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.

15. Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in that jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
